AIRPORT OPERATORS ASSOCIATION I. Call to OrderPresident Corrine Nystrom called the meeting to order at 7:39 a.m. The meeting was attended by Corrine Nystrom, Rex Tippetts, Ron Dent, Dennis Heap, Michael Reisman, Kevin Gould, Jannell Barrilleaux, and Jim Fluhr. Travis Vallin joined the meeting at 8:26. II. Approval of Minutes of the February 2, 2004 Board of Directors Meeting. Scott Brownlee requested that the word change, in the first sentence of VII.A. be modified to the phrase “approach the Legislature”. Scott also recommended that the word “decision”, in the second sentence of the same section be changed to “interest”. The section now reads: “Scott Brownlee asked whether we should approach the legislature to request they amend the $600,000 governmental immunity level as most airports carry one million dollar insurance requirements. There was no interest in this item.” Michael Reisman moved that the minutes be approved as amended and Dennis seconded the motion. The motion passed unanimously. III. Reports of Officers and CommitteesA. Financial Report Secretary-Treasurer Ron Dent presented the financial report. The Association reported total income for the period of January 1, 2004 through May 11, 2004 of $28,080.73 and total expenses for the same period of $10,189.23. The net income was $17,891.50 with a cash balance of $47,882.53. Dennis Heap offered a motion to approve the financial report. Michael Reisman seconded the motion which passed unanimously. B. Conference Committee. 1. Fall 2004 Conference. Corinne Nystrom reported that the FAA/CAB/CAOA conference would be held in October. 2. Spring 2005 CAOA Conference. Jannell Barrilleaux reported that DIA had volunteered to host this conference, possibly at Winter Park. There will be a golf tournament. 3. 2006 NWAAE Conference. Corinne Nystrom reported that the site for the conference was still as yet undetermined but would require a large conference facility with 250 hotel rooms nearby. Rex Tippetts offered that Aspen might want to host this conference. There is a conference facility in Snowmass that might work. Corinne stated that Steamboat also has the facility and needed quantity of rooms. This conference will be a Board effort and will be discussed further at the July Board meeting. 4. IAFC 2006. Kevin Gould says that Colorado Springs is interested. This will need a firm commitment from the COS Airport. 5. Environmental Conference. Jannell Barrilleaux reported that Denver will host an environmental conference in Denver in spring of 2005. C. Membership CommitteeRon Dent reported that the invoicing worked well and added some new members as well as reclaiming some former members. Jim Fluhr discussed the corporate membership structure. The question was offered – do we need a one level system? Wyoming airports have a sliding scale on memberships based upon enplanements. Kevin Gould stated that this is a complex issue. He stated that CAOA needs to talk to the other members. Corinne Nystrom suggested we survey corporate members on potential or suggested changes in the membership structure. Kevin proposed that we might have one level of membership and then add sponsorships and exhibit space as extra items. Dennis Heap disagreed stating that the current system has worked well for the organization. As the host cities for conferences have limited staffs, the sponsorships included in the memberships have made hosting meetings a little easier. Ron Dent proposed a single level of membership with a sliding scale of sponsorships. Kevin thought that that might work well. There was no action on this item but a survey will be sent to the corporate members. D. Website CommitteeMichael Reisman reported that the website had 1200 to 1500 hits per month. The NOTAM page is getting very limited use and needs to be better utilized. Tim Smith will assist Mike with the website. E. Legislative CommitteeDennis Heap reported on the spring legislative conference. He stated that it was well attended and that the Economic Impact Studies were distributed to all legislators. Corinne Nystrom reported that HB1019 ,hich raised the amount requiring competitive bidding for airport authorities, passed. F. Notams CommitteeMichael Reisman stated that he will be working on this during the conference with a meeting scheduled with the other members of the committee. They will meet with Lisa Rounsavell of the FAA today. IV Unfinished BusinessCAOA/CPA Liaison. Dennis Heap reported that Steve Lee of DIA will assume the role of CAOA liaison to the Colorado Pilots Association. IV. New Business A. Election of Officers Dennis Heap stated that he will present the slate of officers at the general membership meeting for approval by the general membership. He also noted that there is a vacancy on the board of directors and will require nominations from the floor. He then explained the process for the election. Corinne asked whether Tim Smith should remain on the Board now that he is employed at an air carrier airport. He was elected to represent a general aviation airport. The By-Laws state that “upon election” the member shall represent the listed category. Corinne asked whether the By-Laws should be changed to allow for removal of board members. Ron Dent stated that it would be a good idea and also offered that there should be a removal process for lack of participation as a board member. V. Other BusinessRon Dent reported that the organization received a letter from the IRS requiring a tax return. He reported that he had submitted that document but might be required to file returns (form 990EZ) for the last 5 years. Rex Tippetts suggested legal advice be obtained in this matter. Travis Vallin reported that the fall CAOA meeting will be held at the Embassy Suites at DIA in conjunction with the CAB grant hearings on October 21 and 22. These hearing will be limited to complex applications. The banquet will be held on the 21st with Congressman Bob Beaupreaux from the House Aviation Subcommittee as the banquet speaker. VI. Adjourn Rex Tippetts moved to adjourn at 9:04 a.m. Dennis Heap seconded and all were in favor.
